1. Acceptance of Terms

By accessing or using Talkloop's cloud-based VoIP phone system and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all users, including administrators, employees, and any other individuals authorized to access the Services on behalf of a business entity.

2. Description of Services

Talkloop provides cloud-based VoIP (Voice over Internet Protocol) telephone services that enable businesses to make and receive calls over the internet. Our Services include, but are not limited to, voice calling, call routing, voicemail, call forwarding, user management, and related communication features.

3. Account Registration

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring all users under your account comply with these Terms

4. Acceptable Use

You agree to use our Services only for lawful purposes. You shall not:

• Use the Services for any illegal or unauthorized purpose
• Transmit any harmful, threatening, or harassing content
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any systems
• Use the Services for telemarketing without proper consent
• Resell or redistribute the Services without authorization
• Violate any applicable laws or regulations

5. Payment Terms

By subscribing to our Services, you agree to pay all applicable fees. Payment terms include:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• We may change pricing with 30 days' notice
• Late payments may result in service suspension
• You are responsible for all applicable taxes

6. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions or outages.

7. Emergency Services Limitations

VoIP services have limitations compared to traditional phone services, particularly regarding emergency calls (911). You acknowledge that emergency calling may not function the same way as traditional telephone services, and you should maintain alternative means of accessing emergency services.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by Talkloop and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

9. Confidentiality

We will maintain the confidentiality of your business information and call data in accordance with our Privacy Policy. You agree to maintain the confidentiality of any proprietary information about our Services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALKLOOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Talkloop, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access to the Services immediately if you violate these Terms or engage in conduct that may harm us or other users. Upon termination, your right to use the Services will cease immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Minnesota.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
